1. Definitions

In these Terms and Conditions, the following definitions apply: "Service" refers to the legal advisory, real estate, immigration, and related services offered by quoromy. "User" or "You" refers to any individual or entity accessing our website or engaging our services. "We," "Us," or "Our" refers to quoromy, a legal practice registered and operating in Hồ Chí Minh City, Vietnam. "Agreement" refers to these Terms and Conditions together with any engagement letter or service agreement entered into between you and quoromy. "Content" refers to all text, images, and materials published on our website.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or engage our services. You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement under Vietnamese law.

3. Description of Services

quoromy provides legal services in the following practice areas: Preventive Legal Advisory, Real Estate and Property Transactions, and Immigration and Work Permit Facilitation. Services are provided within the jurisdiction of Vietnam. Specific services, scope, timelines, and fees are detailed in individual engagement letters provided to each client before work commences. The information on our website is provided for general informational purposes and does not constitute legal advice. A formal client relationship is established only upon execution of a signed engagement letter.

4. User Responsibilities

When using our website or engaging our services, you agree to: provide accurate and complete information as requested; respond to communications from our team in a timely manner; refrain from submitting false, misleading, or fraudulent information; not use our website for any unlawful purpose or in violation of any applicable law; not attempt to interfere with, compromise, or disrupt our website or its underlying systems; and maintain the confidentiality of any login credentials or secure communications provided to you.

5. Intellectual Property

All content on this website, including text, graphics, logos, and design elements, is the property of quoromy or its licensors and is protected by Vietnamese and international intellectual property laws. You are granted a limited, non-transferable licence to access and view the content for personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent. Any legal documents, memorandums, or deliverables produced for you during an engagement remain subject to the terms of your engagement letter.

6. Fees and Payment

Fees for our services are quoted in Vietnamese Dong (VND) and are detailed in individual engagement letters. Starting prices for our services are: Preventive Legal Advisory from 12,000,000 VND, Real Estate and Property Transactions from 30,000,000 VND, and Immigration and Work Permit Facilitation from 22,000,000 VND. Final fees depend on the scope and complexity of each matter. Payment terms, including any instalment arrangements, are specified in the engagement letter. We reserve the right to suspend or discontinue services in the event of non-payment, subject to reasonable notice and our professional obligations.

7. Service-Specific Terms

Advisory services: Recommendations provided during advisory sessions are based on the information available to us at the time and the regulatory framework in effect. Laws and regulations in Vietnam are subject to change, and our advice reflects our best understanding at the time of delivery.

Real estate services: While we conduct thorough due diligence, we cannot be held responsible for undisclosed defects, encumbrances, or conditions that are not discoverable through standard due diligence procedures available in Vietnam.

Immigration services: Approval of work permits, visas, and residence cards is at the discretion of the relevant Vietnamese government authorities. We prepare and submit applications to the highest standard, but we cannot be held responsible for decisions made by government agencies.

8. Disclaimers

Our website and its content are provided on an "as is" and "as available" basis. We make reasonable efforts to ensure accuracy but do not warrant that the information is complete, current, or free from errors. Nothing on this website constitutes legal advice or creates a lawyer-client relationship. You should not act on information found on this website without seeking professional counsel tailored to your specific situation. Past results described on this website do not predict or suggest similar outcomes in future matters.

9. Limitation of Liability

To the maximum extent permitted by Vietnamese law, quoromy's total liability arising from or related to the use of our website or services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. This limitation does not apply to liability that cannot be excluded under applicable Vietnamese law, including liability for gross negligence or wilful misconduct.

10. Indemnification

You agree to indemnify and hold harmless quoromy, its partners, employees, and agents from and against any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of our website, or any information you provide to us that is inaccurate, incomplete, or misleading.

11. Termination

Either party may terminate a service engagement in accordance with the terms set out in the relevant engagement letter. We reserve the right to restrict or terminate your access to our website if you violate these Terms. Upon termination of an engagement, you remain responsible for any outstanding fees for work performed prior to termination. Provisions relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. In the event of a dispute arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the competent People's Court in Hồ Chí Minh City, Vietnam.

13. Force Majeure

quoromy shall not be liable for any delay or failure to perform its obligations under these Terms or any engagement letter if such delay or failure results from circumstances beyond our reasonable control, including natural disasters, government actions, epidemics, civil disturbances, or disruptions to telecommunications or power supply.

14. General Provisions

Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable engagement letter, constitute the entire agreement between you and quoromy regarding the subject matter herein.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure by quoromy to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity.

Notices: Notices under these Terms should be sent to [email protected] or by post to our office address.

15. Changes to These Terms

We may update these Terms and Conditions from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
